BE IT RESOLVED: SECTION 1. That Tiburon is a sole source vendor for software maintenance of the City's Public Safety Computer-Aided-Dispatch System (CAD), Police Records Management System (PRMS) and Mobile Data System. SECTION 2. That the Mayor and Common Council authorize the Purchasing Manager to issue a purchase order for $ 761,429.00 to Tiburon, Incorporated, as a sole source vendor to upgrade these systems and add an Automatic Vehicle Locator (A VL) module. SECTION 3. The Purchase Order shall reference the number of this resolution and shall incorporate the terms and conditions ofthe Contract, which is on file in the City Clerk's Office. The Purchase Order shall read, "Tiburon CADtiIRMStil A VL Upgrade. Not to exceed $761,429.00." SECTION 4. That the Mayor and Common Council authorize the Purchasing Manager to issue purchase orders not to exceed $115,582.32 to Stratus Computer Corporation, as a selected source vendor, to provide the primary servers for the CAD and RMS update. SECTION 5. The Purchase Order shall reference the number of this resolution and shall incorporate the terms and conditions of the Quote, which is on file in the City Clerk's Office. The Purchase Order shall read, "Stratus CAD Server as described in Quote # CITYOFSB32200NEW A Y. Stratus RMS Server as described in Quote #CITYOFSB5240. SECTION 6. That the Mayor and Common Council authorize the Purchasing Manager to issue purchase orders not to exceed $18,611,16 to Dell Computer Corporation as a selected source vendor to provide the two secondary servers and three system maintenance workstations for the CAD and RMS update. SECTION 7. The Purchase Order shall reference the number of this resolution and shall incorporate the terms and conditions of the Quote, which is on file in the City Clerk's Office, The Purchase Order shall read, "Dell A VL and CARS Servers as described in Quote # E002200614 and Dell A VL, Geofile, and Indexing Workstations as described in Quote # E002200609. Not to exceed $18,611.16." SECTION 8. That the Purchasing Manager may solicit as needed, lease-purchase rate quotes under existing Master Lease Agreements and to award a lease-purchase to the lowest possible leasing company, III III III III III III III III III III III p' , ~ . '1-~~~ III " -', 2002-306 FIRST AMENDMENT TO AGREEMENT FOR EXTENDED SERVICE This First Amendment (hereinafter the "Amendment") is entered into this 12"' day of June, 2002 (the "Effective Date") by and between the City of San Bernardino having its primary place of business at 300 North D Street, San Bernardino, California (hereinafter "Client"), and Tiburon, Inc., a Virginia corporation having its primary place of business at 39350 Civic Center Drive, Suite 100, Fremont, California 94538 (hereinafter "Tiburon"). WHEREAS, the parties entered into the Agreement for Extended Service dated July I, 1995 (hereinafter the "Agreement") for Tiburon to provide application software maintenance on the City's Police Records Management System (PRMS), and WHEREAS, Client contracted with Tiburon to implement Tiburon's Computer Aided Dispatch (CAD) and Correction Management System (CMS) under a separate agreement and under the Agreement Tiburon provides software support to Client for PRMS, CAD, and CMS, and WHEREAS, Client desires to purchase Tiburon's Field Automated System (FAS) and upgrade its PRMS, CAD and CMS application software and Tiburon is qualified to provide the technical service and materials required by Client, THEREFORE, in consideration of the mutual covenants contained herein, the Client and Tiburon agree to amend the Agreement as follows: 1. Section 1 - Period of Performance is hereby deleted and replaced with the following: The term under which Tiburon shall be obligated to perform software support under this Agreement shall commence July 1, 1995, and shall continue through June 30,2003, or until this Agreement has otherwise been terminated as provided for herein. The term under which Tiburon shall be obligated to provide the System Upgrade as set forth in Exhibit D shall commence upon the Effective Date herein above and shall continue through December 31, 2003, 2, Section 2 - Statement of Work second paragraph to (h) is deleted and replaced with the following: (i) Corrections for reported problems or defects due substantially to Client's errors or Client's changes to the system environment, or relating to Client- modified portions of the Program or to portions of the Program affected by Client-provided software, or diagnosis of problems reported erroneously shall be performed by Tiburon in a timely manner and will be charged at the Technical Service Rate, plus applicable travel and per diem expense as described in Exhibit B. Section 2 - Statement of Work add the following: (j) Tiburon shall conduct the System Upgrade in accordance with, and exclusively subject to the terms and conditions set forth in Exhibit D. 4. Incorporate Exhibit D - System Upgrade Implementation (hereinafter the "System Upgrade") which is attached hereto and incorporated by this reference, 5. Upon execution of this Amendment the Agreement shall consist ofthe following: The Agreement, as amended Exhibit A - Software Support and Maintenance Fees (2002) Exhibit B - Schedule of Services and Charges (2002) Exhibit C - Reserved (Cited at Gold Card Service Option in Exhibit B) Exhibit D - System Upgrade Implementation Except as specifically modified herein, all other terms and conditions of the Agreement remain in full force and effect. IN WITNESS WHEREOF, the Client and Tiburon have caused their duly authorized representatives to execute this Amendment on the dates set forth below.
