RESOLUTION NO. 2002-267 RESOLUTION OF THE MAYOR AND COMMON COUNCIL OF THE CITY OF SAN BERNARDINO AUTHORIZING AN AGREEMENT BETWEEN THE CITY OF SAN BERNARDINO AND "THE GENTS" FOR CIVIC AND PROMOTION FUNDING FROM THE FY02/03 BUDGET TO ASSIST IN THE CONDUCT OF THE "SALUTE TO THE ROUTE" EVENT. BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY OF SAN BERNARDINO AS FOLLOWS: SECTION 1. The Mayor of the City of San Bernardino is hereby authorized and directed to execute on behalf of said City, an agreement with "The Gents" organization for civic and promotion funding from the FY02/03 budget, a copy of which is attached hereto, marked Exhibit "A" and incorporated herein by reference as fully as though set forth at length. SECTION 2. The authorization to execute the above referenced agreement is rescinded if the parties to the agreement fail to execute it within sixty (60) days of the adoption of this resolution. PENMAN, City Attorney 2002-267 1 2 3 4 Exhibit "A" AGREEMENT Civic and Promotion Funding This AGREEMENT is entered into between the CITY OF SAN BERNARDINO, a 5 municipal corporation, referred to as "City" and "THE GENTS", a non-profit, 501 ( c) (3) 6 organization, referred to as "Organization." 7 8 9 10 The parties agree to as follows: I. Recitals. A. Organization has requested financial assistance from City for the 11 Fiscal year 2002/03, in order to assist in defraying the expenses connected with the conduct of 12 events related to car show and cruise on September 21, 2002 , as outlined in the Request for 13 Funding Assistance (Attachment "A") and letter to the City from Salute to the Route, dated July 14 I, 2002, (Attachment "B") copies of which are attached hereto. The terms of the request are 15 incorporated herein by reference and shall govern the uses of the funds provided herein. The 16 17 financial assistance provided for in this Agreement is made on a one-time basis, and receipt of 18 said funds shall not imply a continuing obligation of the City beyond the terms of this 19 Agreement. 20 B. The expenditure is for a valid municipal public purpose, to wit: for the 21 conduct of events related to the Salute to the Route ammal car show and cruise. 22 2. Payment. 23 24 Upon presentation of a claim to the City Finance Director, City shall pay 25 to Organization from the civic and promotion budget for the 2002/03 fiscal year, the total sum of 26 FIVE THOUSAND DOLLARS ($5,000). 27 II I II 28 2002-267 GREEMENT BETWEEN THE CITY OF SAN BERNARDINO AND 'THE GENTS" FOR Y02/03 CIVIC AND PROMOTION FUND ASSISTANCE. 1 2 3 4 5 6 , ~. Use of Funds. The funds paid to Organization shall be used solely for the purposes set forth in aragraph I above. No deviation from these provisions shall be made without the express pproval of the City of San Bernardino. Any unexpended funds shall be returned to the City by 7 Organization. 8 9 4. Accountability. Financial records shall be maintained in accordance with generally 10 accepted accounting principles by Organization in such manner as to permit City to easily trace 11 12 the expenditure of the funds. All books and records of Organization are to be kept open for inspection at any time during the business day by the City or its officers or agents. Failure to 13 14 submit the financial records in accordance with this section will result in the Organization 15 reimbursing the City in the full amount received by Organization. At the conclusion of the 16 program, Organization shall present the City Administrator or his designee copies of all receipts 17 for expenditures connected with said program in the total amount of FIVE THOUSAND 18 DOLLARS ($5,000). 19 20 21 5. Hold Harmless. Organization covenants and agrees to defend, (if requested by City), indemnify, and hold 22 harmless the City, its departments, agencies, boards, commissions, elected officials, officers, 23 attorneys, employees and agents from all liabilities and charges, expenses (including counsel 24 fees), suits, or losses, however occurring, or damages arising or growing out of the use or receipt 25 of the funds paid hereunder and all operations under this Agreement. The costs, salary and expenses of the City Attorney and members of 2 his office in enforcing this Agreement on behalf of the City shall be considered as "counsel fees" 3 4 5 6 for the purposes of this paragraph. 6. Insurance. While not restricting or limiting the foregoing, during the term of this 7 Agreement, Organization shall maintain in effect policies of comprehensive public, general and 8 automobile liability insurance, in the amount of $1 ,000,000, per occurrence combined single 9 limit, naming Salute to the Route, and the City of San Bernardino, its departments, agencies, 10 boards, commissions, elected officials, officers, attorneys, employees, and agents as additionally insured, A certificate of insurance evidencing such coverage shall be provided to the Mayor or 14 materially altered without 10 days prior written notice to the City. 15 16 7. Termination. City shall have the right to terminate this Agreement and any funding 17 remaining unpaid hereunder for any reason by mailing a ten-day written notice to Organization 18 and this Agreement shall terminate ten days after the mailing of such notice. In the event this 19 Agreement is terminated for reasons of improper use of funds or use of funds for any purpose 20 21 other than those authorized, any unexpended portion of the funds provided by City shall be 22 returned to City, and the Organization shall reimburse to City any funds expended which were 23 used for any purpose other than those authorized under this Agreement. 24 25 26 27 28 8. Authorization to Execute. The "Salute to the Route" is a community event held each September in recognition of Route 66. All proceeds are contributed to local non-profit agencies for student scholarships. This year's recipients will be the Gents Organization. The day of the event will feature a custom car show, lowrider bicycle displays, local bands performing on stage as well as food and vendor booths. Service organizations such as the Boy Scouts of America, People's Choice, Ronald McDonald House, The American Red Cross, Inland AIDS Project, the PAL Center and others are welcomed free of charge to provide outreach to the community. We host organizations such as the San Bernardino County Department of Public Health, the California Highway Patrol, San Bernardino County Sheriffs Department, and the San Bernardino City Police Department so they may educate the public about the services they provide. This year we also welcome health organizations such as Molina Medical, La Salle Medical, and IEHP so they may provide health and safety information to the public. On behalf of the "Salute to the Route" Board of Directors, I am requesting $10,000 from the Ways & Means Committee in our endeavor to provide these services to the community. Service organizations such as the Boy Scouts of America, People's Choice, Ronald McDonald House, The American Red Cross, Inland AIDS Project, the PAL Center and others are welcomed free of charge to provide outreach to the community. We host organizations such as the San Bernardino County Department of Public Health, the California Highway Patrol, San Bernardino County Sheriffs Department, and the San Bernardino City Police Department so they may educate the public about the services they provide. This year we also welcome health organizations such as Molina Medical, La Salle Medical, and IEHP so they may provide health and safety information to the public. On behalf of the "Sa/ute to the Route" Board of Directors, I am requesting $10,000 from the Ways & Means Committee in our endeavor to provide these services to the community.
