RESOLUTION OF THE MAYOR AND COMMON COUNCIL OF THE CITY OF
SAN BERNARDINO AUTHORIZING THE EXECUTION OF AN AGREEMENT AND
PURCHASE ORDER TO BRYAN A. STIRRAT & ASSOCIATES TO DESIGN AND
CONSTRUCT A LANDFILL GAS COLLECTION AND TREATMENT SYSTEM AND
IMPROVEMENTS TO THE LANDFILL COVER SYSTEM.
BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY
OF SAN BERNARDINO AS FOLLOWS:
SECTION 1. Bryan A. Stirrat and Associates provides construction engineering
support services relative to the Waterman Landfill cover improvement construction.
Therefore, the Mayor of the City of San Bernardino is hereby authorized to execute the
Agreement (Proposal to Provide Services Related to Closure of the Waterman Landfill)
dated March 30, 2004, as amended, with Bryan A. Stirrat & Associates, and the
Purchasing Manager is hereby authorized to issue a purchase order to Bryan A. Stirrat
& Associates to design and construct a landfill gas collection and treatment system
and improvements to the Waterman Landfill cover system in a total amount of
$784,604.00.
SECTION 2. The Purchase Order shall incorporate by reference this
Resolution No. 2004- 116 , and the Purchase Order shall read, 'Bryan A. Stirrat &
Associates, design and construct landfill gas collection; and cover system
improvements — Waterman Landfill, in accordance with Proposal to Provide Services
Related to Closure of the Waterman Landfill, by Bryan A. Stirrat dated March 30, 2004,
as amended. Not to exceed a total cost of $784,604.00 and initial funding level of
$250,000".

Dear Mr. Merrill:
Pursuant to your request, Bryan A. Stirrat & Associates (BAS), with our affiliate
geotechnical firm, GeoLogic Associates (GLA), and subcontractor, The Regenesis Group
(TRG) is pleased to provide the City of San Bernardino (City) the following scope of work
and fee estimates to provide services related to the closure of the Waterman Landfill
(Project).
The Project involves the design and construction of a landfill gas collection and treatment
system (LFG system) and improvements to the landfill cover system. The plans and
specifications for the cover system have been previously prepared by BAS and submitted
to the City. The plans and specifications for the LFG system will be developed by BAS as
part of this project.
Due to budget and time constraints, the City prefers that the project be completed using
only City forces and BAS forces in lieu of putting the project out to bid. The proposed
tasks to be provided by BAS are described in the Scope of Work (SOW) below. The
SOW is divided into two sections. The first section describes services related to the
landfill cover, and the second section describes services related to the LFG system.
SCOPE OF WORK
SECTION 1 — SERVICES RELATED TO THE LANDFILL COVER
TASK 1.1 ATTEND MEETINGS
Several meetings will be required during the course of the project. These meetings
include, but are not limited to meetings with regulators, progress meetings with the City,
and meetings with material/equipment suppliers.
BAS' proposed budget includes estimated hours by staff category during the course of the
project. BAS will bill under this task for meeting costs including time and expenses.

TASK 1.2 CONSTRUCTION ENGINEERING SUPPORT
BAS will provide construction engineering support which will consist of coordination with
the City Superintendent, the cover soil supplier, and the CQA staff during the project to
assist in achieving the construction that conforms to the Project Plans, Specifications, and
applicable regulatory approvals. In addition, BAS will review the construction and
contract -related documentation.
A brief summary of tasks to be performed as a part of the engineering support follows:
• Attend progress and CQA meetings on a weekly basis.
• Review and consult with the City's Representative and CQA staff on items which may
include:
° Contractor submittals
° RFIs
• Coordinate and review of the record drawings and CQA drawing notations developed
during construction and review the final "Record Drawings'.
Task 1.2.1 Project Documentation
BAS understands the importance of detailed documentation for construction projects.
Outlined below is a brief description of typical documentation that would be maintained
during the project:

Task 1.2.2 Construction Services
The following section outlines the scope of work anticipated during the construction:
Corrective Action Items
BAS will document in Weekly reports, any deficiencies noted in the construction activities
or in material delivered to the site. These deficiencies will be brought to the City's
attention immediately so that corrective action can be taken as soon as possible to
minimize the impact on the overall construction schedule.
Coordination with City
BAS will confer with and advise the City regarding the status of any significant items, and
verify that the appropriate notifications and/or coordination for specific events have taken
place.
Task 1.2.3 Project Documentation
Photo Log
BAS will, throughout the construction process, take photographs to document progress,
note unusual or unforeseen conditions, and record events of interest. At the conclusion of a
project, the CD and/or a set of the photographs will be submitted to the City and the
RWQCB as part of the final report.
Weekly Construction Reports
The narrative portion of the report will include sufficient information to convey to the
Agency the scope of work that occurred on that week and the locations in which the
work occurred. Particular attention will be paid to changed or unforeseen conditions,
deficiencies noted, and when corrective action is required.
Request for Information (RFI) and Design Clarification Log
All responses to RFIs and finalization of design clarifications will be reviewed and
approved by the Design Engineer and, if applicable, the CQA Officer.
Weekly Progress Meeting Minutes
In addition to the above noted documentation, a weekly progress meeting will be
conducted in which many of the above issues will be reviewed and documented. At a
minimum the following issues will be covered:
Amendments or corrections to previous week's minutes.
Health and Safety issues.
• Progress and schedule review (two -week look ahead).

• Submittal review.
• Request for Information review.
• CQA review and discussion of issues.
• Task specific issues.
• Progress payment (if applicable).
BAS will document all discussions at the progress meetings and will prepare meeting
minutes for distribution to all attendees prior to the next scheduled meeting.
Task 1.2.4 Project Close-out
The record drawings will be reviewed for accuracy and conformance with BAS' records.
The record set will be used to update a design drawing set and will be supplemented by
additional survey. As the City's Design firm, the project plans will already be in our
AutoCAD system thus providing for timely and efficient issuance of record drawings.
When record drawings have been finalized, one reproducible set of drawings, and the
selected AutoCAD file, will be transmitted to the City.
Upon completion of BAS' review and completion of all "punch list" items, a final close out
report will be prepared which will detail recommendations as to the acceptability of the
work and its conformance to the intent of the plans and specifications. Once construction
is complete, and the City has submitted their redlined mark-up of the construction
drawings, the BAS Project Manager will review the Project Record Drawings and finalize
to the City with appropriate comments.
TASK 1.3 SURVEY
BAS will provide construction survey (control staking) for the City's construction crews. It
is anticipated that one day per week will be utilized to set control stakes. The City may
have to provide a grade checker to establish intermediate grades. This will be necessary
for two reasons. The first is to verify that the cover thickness meets the regulatory
requirements. The second is that this information will be used in the Final Close Out
Report to show existing grades, proposed grades and final grades, and allow for
certification of the Close Out Report in compliance with the approved plan. If the City
crew wishes to supplement this survey with additional information, the Crew Chiefs can
coordinate.
TASK 1.4 PROJECT ADMINISTRATION/PREPARE FINAL REPORT
This task is comprised of the following activities:
• Monthly Invoices including activity reports, when needed.
• Project management/coordination between CQA and City Staff.

• Monitor project construction, management and budget schedule.
• Prepare Final Report for submittal to the Regional Water Quality Control Board
CONSTRUCTION OUALITY ASSURANCE MONITORING
GLA will complete a borrow source evaluation study to assess the adequacy of soils
proposed for the cover repair project by the City or its subcontractor. The borrow
study will involve mobilization of a hollow -stem drill -rig to excavate exploratory
boreholes at the borrow site, retention of soil samples for laboratory analyses, and
computer modeling to simulate the transient flux of moisture that may infiltrate cover
soils in the future.
As shown on Table 1, GLA expects that the drill rig will be employed for
approximately 3 days (30 hours total) at up to 3 potential borrow sites in the area.
During this period, GLA will provide an experienced geologist who will log the
borings and retain samples for subsequent laboratory analyses. Following
confirmation that the soils have appropriate gradation and permeability
characteristics, modeling will be completed to verify that the moisture flux through
the cover soils will be at acceptable levels.
Approximately one week after the modeling work is completed, a memorandum will
be prepared for City and RWQCB review that details the borrow evaluation work that
was completed and which substantiates the suitability of the proposed borrow soils
for use in the Waterman Landfill Cover Repair Construction work.
TASK 1.6 CQA SERVICES
GLA will provide field technicians to observe and test the cover fill soils to assure
compliance with the Project Specifications. It is our understanding that fill material
will be selectively excavated at the off -site borrow source(s), moisture conditioned as
necessary, and placed as compacted fill to form the monolithic final cover.
The following summarizes GLA's scope of work for CQA services:
1. Periodic visits and inspections of the borrow excavation to visually observe soils
exposed in the excavation and to obtain soil samples for laboratory testing.
2. Laboratory testing of borrow soils to assure their suitability for the cover repair
project.
3. Monitoring and compaction testing of the reprocessed and recompacted upper
6 inches of the existing foundation layer material.

4. Laboratory and field testing to evaluate the in -place characteristics of fill
materials.
Informing City and the Construction Manager of any soil related conditions that
are non-conformant with the Project Specifications.
6. Observation and monitoring during construction of civil improvements.
Preparing a final report summarizing the results of CQA observation and testing.
In -place fill materials will be required to meet or exceed the moisture/density,
gradation and hydraulic conductivity criteria as set forth in the Project Specifications
and Earthwork Quality Assurance Plan and at a minimum will be evaluated based on
the following type and frequency of tests.

During the construction period, GLA's field technician will regularly visit the landfill
and borrow excavation(s) to visually observe the work, perform field testing, and to
obtain samples for laboratory analyses. While the contractor's excavation and fill
placement rates will govern the time required of the field technician, for proposal
purposes, GLA anticipates that the technician may be required for 5 or 6 hours each
working day.
During construction, GLA will submit to the City a summary of field and laboratory
test results approximately every other week. Approximately one month after the
completion of construction, GLA will submit a Draft Report of CQA Services for City
review. This report will summarize construction activities and laboratory and field test
results, and provide certification by a State of California Certified Engineering
Geologist that construction was performed in accordance with the minimum
requirements of the Project Specifications. A final report of CQA Services will be
submitted approximately one week after receipt of City comments to the Draft report.
FEE ESTIMATE FOR TASK t
The anticipated fee estimate to complete Task 1 is provided in Attachment 1. The totals
listed in Attachment 1 for geotechnical laboratory testing are consistent with the testing
frequency identified in the CQA Plan and listed above. The fee estimate provided is for
budget purposes and work will be billed at the rates indicated on our current rate
schedules, copies of which are also attached.

BAS and GLA will commit to the project the necessary manpower to meet the City's
schedule and provide responsible construction services throughout the duration of the
project. This fee estimate was based on the following assumptions, our past experience
with similar projects, and the anticipated duration of construction.
• Construction shall occur on Monday through Friday, only.
Construction is based on a 65-day working schedule.
SECTION 2 — SERVICES RELATED TO THE LFG SYSTEM
TASK 2.1 ENGINEERING SUPPORT SERVICES
Task 2.1.1 LFG System Construction Drawings
In this task, BAS will develop construction drawings (the level of details is intended for a
design/build type of project) for the LFG system including the following:
• Title sheet
• LFG system site plan
• Piping alignments and piping details
• Condensate sump details
• LFG treatment system site plan
• LFG treatment system electrical plans
• LFG treatment system process piping diagram
As part of the design process, BAS will perform the calculations necessary to estimate LFG
flowrates and extraction system pipe sizes. BAS will provide the City with a preliminary
set of drawings for comment, and include City comments on the final, wet stamped set.
Deliverable: One set of preliminary LFG system drawings on bond, and one set of final
LFG system drawings on Mylar.
Task 2.1.2 SCAQMD Permit Application
In this task, BAS will prepare applications for South Coast Air Quality Management District
(SCAQMD) Permits to Construct/Permits to Operate. Up to three (3) separate permits
may be required; LFG extraction system, treatment facility, and condensate management
system. Each permit will include a cover letter, the appropriate SCAQMD standard forms,
calculations, preliminary drawings, and a check for the application fee (the costs
associated with any permit fees are not included in our cost estimate, and it is our

assumption that these fees will be provided by the City). The treatment facility permit
application package will include all necessary health risk calculations for the chronic and
acute assessment, as well as the "one in a million calculation." BAS will submit the
application to SCAQMD on behalf of the City. Processing of the permit application by
SCAQMD can take several months, but if necessary, the City can expedite the process by
paying additional overtime fees to SCAQMD.
Deliverable: One copy of each permit application.
Task 2.1.3 LFG Quality and Quantity Testing
Following completion of the LFG extraction system, and after allowing the system to
stabilize, BAS will test the quality and quantity of the LFG for the purpose of selecting the
appropriate treatment technology. Potential treatment technologies include enclosed
ground flare, thermal oxidizer, and activated carbon. The selected technology will be
dependent on methane content and flowrate.
This test will involve extracting LFG for a period of four weeks using a rented trailer -
mounted thermal oxidizer. BAS will monitor LFG flowrates, methane content, and
condensate levels in the sumps and the City will pump and disposed of condensate during
the test if necessary.
Deliverable: One copy of LFG quality test report.
Task 2.1.4 LFG Treatment SVstem Equipment Procurement Specifications
Based on the results of the LFG quality and quantity test, BAS will prepare technical
specifications to be used by the City to procure a LFG treatment facility. The
specifications will include requirements for equipment performance, warranty, startup,
testing, and operating manual. The City will attach this specification with City
procurement documents and send to bidders.
Deliverable: One copy of specifications.
Task 2.1.5 Source Test LFG Treatment SVstem
In this task, BAS will procure the services of a source testing firm and air lab, coordinate
with SCAQMD, supervise and oversee the source test, and submit the report to
SCAQMD.
Deliverable: Source test report.
Task 2.1.6 Construction Management and Start -Up of LFG System
In this task, a BAS construction manager will be onsite full-time during construction in
order to supervise and oversee work conducted by City staff. BAS will photo log

construction activities, log wells, and document man-hours, equipment hours, and daily
work in place and work in progress. BAS will redline construction drawings, and produce
as-builts for the project. The budget for this task is based on 65 working days construction
duration. BAS will also document the end of construction by way of a construction
certification report.
Following construction of the LFG System, BAS will perform startup activities. Startup
activities include shakedown, troubleshooting, and performance testing of the treatment
facility, monitoring the boundary probes, and balancing the wellfield. These activities
typically require approximately 1 month at which time the system should be stable and
the probes should be in compliance.
Deliverable: Construction Certification Report, Photo Log.
Task 2.1.7 LFG System Routine Operation and Maintenance
Following startup, BAS will perform routine Operation and Maintenance (O&M) activities
on the System for a period of one year, beginning after startup activities are complete.
Routine O&M includes the following activities:
• Prepare a site specific operation and maintenance manual for operation of the
wellfield and treatment facility.
• Monitor wells every two weeks, and adjust as necessary.
• Monitor condensate holding tank and call for pump -out as necessary. City will pump
and dispose of condensate. (City should investigate connection to sewer system).
• Monitor, adjust and maintain the treatment facility weekly.
• Perform SCAQMD 1150.1 compliance monitoring:
1. Boundary probe sampling and analysis (monthly)
2. Integrated surface sampling (monthly)
3. Instantaneous surface monitoring (quarterly)
4. LFG sampling and analyses at treatment system (monthly)
5. Ambient air sampling (monthly)
6. Submit 1150.1 reports to SCAQMD (quarterly)
BAS can, as an optional task, prepare an application to SCAQMD for an Alternative
Monitoring Plan (AMP) which, if approved by SCAQMD, would result in less stringent
1150.1 monitoring requirements for the site.
Non -routine activities, and emergency O&M are also available on a time and expense
basis at the request of the City.
Deliverable: Monthly O&M reports and quarterly 1150.1 reports.

FEE ESTIMATE FOR TASK 2.1
The anticipated fee estimate to complete Task 2.1 is provided in Attachment 2. The fee
estimate provided is for budget purposes and work will be billed at the rates indicated on
our current rate schedules, copies of which are attached.
BAS will commit to the project the necessary manpower to meet the City's schedule and
provide responsible construction services throughout the duration of the project. This fee
estimate was based on the following assumptions, our past experience with similar
projects, and the anticipated duration of construction.
• Construction shall occur on Monday through Friday, only.
• Construction is based on a 65-day working schedule.
TASK 2.2 CONSTRUCTION SERVICES
BAS construction forces will work with City construction forces to construct the LFG
System. BAS estimates that the LFG collection system will consist of thirty (30) twenty five
foot deep wells installed approximately 50-feet inside from the edge of the waste
perimeter, a 6" LFG header buried around the outside perimeter of the waste, 12
pneumatic condensate sumps, and all associated piping. The LFG treatment system will
be either a flare, thermal oxidizer, or activated carbon system, and will include a
compressed air system. The estimated construction duration is 65 days. If the
construction period were to exceed the 65 days estimate, services will be rendered on
time and expense basis in accordance with the BAS standard rates schedule. A brief
description of proposed work is as follows:
• BAS will install LFG wells complete with wellheads and wellhead boxes, ready for
connection to well laterals using hose clamps. The City will supply dumpster and
dispose of well cuttings.
BAS will supply and weld (using butt -fusion welding) the LFG header pipes, lateral
pipes, air pipes and condensate pipes in sections with flanged end connections (air
and condensate piping is supplied in rolls). The City will dig the pipe trenches, install
the piping in the trenches, and backfill/compact the trenches.
• BAS will supply condensate sumps. The City will dig the sump holes and place the
sumps in the holes. BAS will connect the sumps to the header, air, and condensate
piping. The City will backfill and compact the sumps.
• The City will construct the treatment system site, including concrete, electrical, fencing,
etc., and supply and install the treatment system under the direction of BAS. BAS will
connect the LFG header to the treatment system, and start-up the system.

FEE ESTIMATE FOR TASK 2.2
BAS' scope of work and cost to complete Task 2.2 is provided in Attachment 3. The cost
estimate provided is for budget purposes and work will be billed at the unit rates shown
multiplied by the number of units actually constructed. BAS recommends adding an
appropriate contingency for unforeseen circumstances, and for additional work that the
City may wish to be included in BAS' scope.
BAS will commit to the project the necessary manpower to meet the City's schedule and
provide responsible construction oversight throughout the duration of the project. The
cost estimate is based on the following assumptions, our past experience with similar
projects, and the anticipated duration of construction.
• Construction shall occur on Monday through Friday, only.
Construction is based on a 65-day working schedule. If the construction period were
to exceed the 65 days estimate, services will be rendered on time and expense basis in
accordance with the BAS standard rates schedule.
SUMMARY OF PROJECT COSTS
BAS has provided detailed budget breakdowns in the attached budget spreadsheets. The
following table summarizes BAS' estimated budgets for the major work items involved in
the project.
Services related to the landfill cover $144,302
Services related to the LFG system:
Engineering $115,495
65 days full-time construction management $81,502
One year O&M and 1150.1 compliance $162,869

RECITALS
BAS shall indemnify, defend and hold free and harmless the City, its officers, and its
employees from all claims, damages, costs, expenses, and liability, including, but not
limited to attorney's fees, imposed upon them for any alleged infringement of patent rights
or copyrights of any person or persons in consequence of the use by City, its officers,
employees, agents, and other duly authorized representatives, of programs or processes
supplied to City by BAS under this Agreement.
The prevailing party in any legal action to enforce or interpret any provisions of this
Agreement will be entitled to recover from the losing party all reasonable attorneys' fees,
court costs, and necessary disbursements in connection with that action. The costs, salary,

and expense of the City Attorney and members of his office, in connection with that:. ry "

SAS shall indemnify, defend and hold harmless City from and against any and all,

third parties, which arise from SAS' negligent performance of services under this

judgments, losses, damages, injuries, penalties, costs, expenses (including reasonable
attorney's fees) and liabilities of, by or with respect to third parties, which arise from the
City's negligent performance under this Agreement With respect to any and all claims,
demands, suits, actions, proceedings, judgments, losses, damages, injuries, penalties, costs,
expenses (including reasonable attorney's fees) and liabilities of, by or with respect to third
parties, which arise from the joint or concurrent negligence of SAS and City, each party
shall assume responsibility in proportion to the degree of its respective fault.
SAS shall maintain insurance policies meeting the minimum requirements set forth herein.
All insurance maintained by SAS shall be provided by insurers satisfactory to the City.
Certificates evidencing all insurance coverage required herein shall be delivered to the
City prior to SAS performing any of the services under this Agreement. All insurance
certificates required herein shall name the City as an additional insured and provide for
thirty-(30) days written notice from the insurer to the City prior to cancellation of any
insurance policy of SAS.
Comprehensive General Liability and Automobile Insurance
SAS shall maintain comprehensive general liability and automobile liability
insurance with a combined single limit of not less than One Million Dollars
($1,000,000.00) per occurrence.
Worker's Commotion Insurance
SAS shall maintain worker's compensation insurance in accordance with the laws
of the State of California for all workers employed by the Vendor.
LIMITATIONS
The work proposed herein will be performed in accordance with sound engineering and
construction practices. However, implementation of the proposed services does not
guarantee regulatory compliance of the site. As with any mitigation plan, environmental
monitoring may indicate the need for additional measures in the future.
SAS will not be responsible for air emissions from the site, subsurface LFG migration from
the site, groundwater contamination from the site, or any other environmental
consequences resulting from the construction and/or operation and maintenance of the
mitigation measures described in this proposal.

SAS has 20 years experience in the design and construction of landfill gas management
systems, and in landfill closure engineering and construction. The City's approach to the
Waterman Landfill project, with its use of both consultant and City forces during the
construction phase, differs significantly from the standard "design/build" approach. While
SAS supports the City in its non-traditional approach, we respectfully request that our
liability be limited to only those activities conducted by SAS and its subcontractors. It is
also important to note that construction cannot take place until a permit to construct is
issued from SCAQMD.
