MAYOR AND COMMON COUNCIL
OF THE CITY OF SAN BERNARDINO
ADJOURNED REGULAR MEETING
JANUARY 30, 1995
COUNCIL CHAMBERS
This is the time and place set for an adjourned regular
meeting of the Mayor and Common Council of the City of San
Bernardino from the adjourned regular meeting held at 8:03 a.m.,
Monday, January 23, 1995, in the Council Chambers of City Hall, 300
North "D" Street, San Bernardino, California.
The City Clerk caused to be posted the order of the
adjournment of said meeting held on Monday, January 23, 1995, and
has on file in the Office of the City Clerk an affidavit of said
posting together with a copy of said order which was posted at
10:45 a.m., on Tuesday, January 24, 1995, on the door of the place
at which said meeting was held.
The adjourned regular meeting of the Mayor and Common Council
of the City of San Bernardino was called to order by Mayor Minor at
9:01 a.m., Monday, January 30, 1995, in the Council Chambers of
City Hall, 300 North "D" Street, San Bernardino, California.
ROLL CALL
Roll call was taken by City Clerk Rachel Clark with the
following being present: Mayor Minor; Council Members Negrete,
Curlin, Hernandez, Oberhelman, Devlin, Pope-Ludlam, Miller; Senior
Assistant City Attorney Barlow, City Clerk Rachel Clark, City
Administrator Shauna Clark. Absent: None.
RECESS MEETING - CLOSED SESSION (1)
At 9:01 a.m., the Mayor and Common Council recessed to closed
session for the following:
1. Conference with labor negotiator pursuant to Government Code
Section 54957.6:

CLOSED SESSION
At 9:01 a.m., Mayor Minor called the closed session to order
in the conference room of the Council Chambers of City Hall, 300
North "D" Street, San Bernardino, California.

Roll call was taken by City Clerk Rachel Clark with the
following being present: Mayor Minor; Council Members Negrete,
Curlin, Hernandez, Oberhelman, Devlin, Pope-Ludlam, Miller; Senior
Assistant City Attorney Barlow, City Clerk Rachel Clark, City
Administrator Shauna Clark. Absent: None.
Also present: Personnel Director Dillon.
DEPUTY CITY ATTORNEY ROTH ARRIVED
At 9:10 a.m., Deputy City Attorney Roth arrived at the closed
session.
READING OF RESOLUTIONS & ORDINANCES
Deputy City Clerk Hartzel read the titles of all the
resolutions on the adjourned regular agenda while the Council was
in closed session.
ADJOURN CLOSED SESSION
At 9:16 a.m., the closed session adjourned to the adjourned
regular meeting of the Mayor and Common Council of the City of San
Bernardino.
RECONVENE MEETING
At 9:18 a.m., Mayor Minor reconvened the adjourned regular
meeting of the Mayor and Common Council of the City of San
Bernardino in the Council Chambers of City Hall, 300 North nD"
Street, San Bernardino, California.

Roll call was taken by City Clerk Rachel Clark with the
following being present: Mayor Minor; Council Members Curlin,
Hernandez, Oberhelman, Devlin, Pope-Ludlam, Miller; Senior
Assistant City Attorney Barlow, City Clerk Rachel Clark, City
Administrator Shauna Clark. Absent: Council Member Negrete.
PUBLIC COMMENTS

Senior Assistant City Attorney Barlow ruled there would be no
public comments, as this was an adjourned regular meeting and
public comments had been received at the meeting of January 23,
1995.
RESOLUTION OF THE CITY OF SAN BERNARDINO IMPLEMENTING A
MEMORANDUM OF UNDERSTANDING BETWEEN THE CITY OF SAN
BERNARDINO AND EMPLOYEES IN THE POLICE SAFETY EMPLOYEES'
BARGAINING UNIT OF THE CITY OF SAN BERNARDINO REPRESENTED
BY SAN BERNARDINO POLICE OFFICERS' ASSOCIATION (SBPOA)

City Administrator Shauna Clark stated that the Mayor and
Common Council reaffirmed their action taken in closed session on
January 23, 1995, directing the Director of Personnel to meet with
the San Bernardino Police Officers' Association (SBPOA) and define,
in no uncertain terms, that the language on shifts may be subject
to change as a result of the meet and confer process, audit, and
other factors.
There was no action taken on this matter.
RES. 95-26 - RESOLUTION OF THE MAYOR AND COMMON COUNCIL
OF THE CITY OF SAN BERNARDINO, CALIFORNIA, AUTHORIZING:
(i) EXECUTION OF A CERTAIN HUD SECTION 108 LOAN AGREEMENT
BY AND BETWEEN THE CITY OF SAN BERNARDINO AND HARRIS' ;
AND (ii) EXECUTION OF ANY NECESSARY DOCUMENTS TO PROCESS
THE HUD SECTION 108 LOAN. (Note: Matter previously
discussed on January 23, 1995) (4)
Timothy Steinhaus, Agency Administrator, and Barbara
Lindseth, Acting Director, Economic Development Agency, submitted
Staff Reports dated January 26, 1995, relative to the U.S.
Department of Housing and Urban Development (HUD) Section 108 Loan
Application for Harris' department store.
Economic Development Agency Administrator Timothy Steinhaus
stated that on December 5, 1994, the Council had approved submittal
of a HUD Section 108 Loan application for the Harris' department
store building acquisition project. The City would guarantee the
loan of $7,353,000 through its annual allocation of Community
Development Block Grant (CDBG) funds. He stated that HUD had
completed its analysis and approved the Section 108 loan
application request. Therefore, the next step would be a Section
108 Loan Agreement between the City and Harris' .
Timothy Sabo, Economic Development Agency Counsel, explained
the purpose and scope of the loan agreement between Harris' and the
City. He noted that Harris' would agree to a ten-year operating
covenant with certain parameters and would also agree to spend $1
million during the next 12 months to upgrade their store.
COUNCIL MEMBER NEGRETE RETURNED
At 9:24 a.m., Council Member Negrete returned to the Council
meeting and took his place at the Council table.
Discussion ensued relative to the origin and terms of the
Letter of Credit, what measures could be taken if Harris' defaulted
on the loan, and details of the operating covenant.
Jorge Pont, representing Harris', answered questions relative
to the sales levels projected in the operating covenant.

Jeff Wright, P.O. Box 2341, San Bernardino, CA, expressed
opposition to the City entering into the loan agreement.
Bob Nelson, SR-11, Summit, CA, expressed concern that the City
would consider this action given the current financial environment.

ADJOURNMENT (5)
At 9:46 a.m., the meeting was adjourned. The next regular
meeting of the Mayor and Common Council will be held at 8:00 a.m.,
Monday, February 6, 1995, in the Council Chambers of City Hall, 300
North "D" Street, San Bernardino, California.
